8-K/A
Also: Form 8-K/A · amended 8-K
An 8-K/A is an amendment to a Form 8-K. Rule 12b-15 says amendments "must be filed under cover of the form amended, marked with the letter "A" to designate the document as an amendment," and "must set forth the complete text of each item as amended." Item 5.02 calls for one in a specific case: when information required by Item 5.02(c)(3), an appointed officer's material plan, contract or arrangement, "is not determined or is unavailable at the time of the required filing," the company says so in the filing and must file an amendment "within four business days after the information is determined or becomes available." An amendment does not by itself mean the original filing was wrong.
