Four business days
Four business days is the general deadline for a Form 8-K. General Instruction B says that, "unless otherwise specified, a report is to be filed or furnished within four business days after occurrence of the event." If the event falls on "a Saturday, Sunday or holiday on which the Commission is not open for business, then the four business day period shall begin to run on, and include, the first business day thereafter." Item 5.02(c) has its own exception: a company that announces an appointment another way may delay the filing until that announcement. CFO Tribune records both the effective date and the filing date, and does not judge whether a filing was on time.
