Item 5.02(b)
Paragraph (b) of Item 5.02 applies when a company's "principal executive officer, president, principal financial officer, principal accounting officer, principal operating officer, or any person performing similar functions, or any named executive officer, retires, resigns or is terminated from that position." The company must "disclose the fact that the event has occurred and the date of the event." That is all paragraph (b) requires: it asks for no reason, so a departure filing may give none. CFO Tribune quotes each departure filing in its own words and adds no description of its own. A departure with no successor named is listed on the open seats page.
