How this is computed

  • Days are counted from the 8-K's filing date (the filed field) to the effective date the filing gives, in calendar days.
  • Only records whose effective date is given to the day count. A record with a month-precision or unstated effective date is not established and is left out of every figure except the not established row.
  • A negative count means the change took effect before the 8-K was filed; Item 5.02 allows four business days to file.
  • Only verified records count: drafts never build. A share whose base is zero is shown as not established, never as 0%.

What the record cannot tell you

  • The effective date is the one the filing states. A later amendment that moves the date is reflected only if the record was corrected.
  • The record does not say when the board decided, or when the officer gave notice, so this is not the officer's own notice period.
  • The record holds the filings CFO Tribune has read and verified, not every filing made. Each figure describes that record only.
